This HonorDiscount.com Membership Agreement ("Agreement") is a legal agreement between you ("You" or "Your" as the context requires) and HonorDiscount.com. ("We", "Us" or "Our" as the context requires). It states the terms and conditions that apply to your participation in the HonorDiscount.com Online Discount Business Locator.

" HonorDiscount.com Online Discount Business Locator " and "HonorDiscount.com Discount Locator" refer to the online, customized and patented Business Discount Locator hosted and maintained by HonorDiscount.com through which you will display the name, location, hours of operation and any unique information concerning your business to customers.

MEMBERSHIP; ELIGIBILITY

Member   
To become a member and to access and use the Services: (a) You must accept, by clicking on the "I ACCEPT" button, and comply with, the terms and conditions of this Agreement; (b) You must complete the online registration form; and (c) We must receive Your payment for the placement into the locator, You have requested (all of the foregoing is collectively referred to as the "Registration Process"). 

Eligibility   
You must have the legal capacity to enter into an enforceable contract. Minors are not eligible. You represent that You are at least 18 years of age, and have all necessary power, competence, and authority to enter into this Agreement. We reserve the right to refuse to register or de-register You as an ineligible member if it is found that you do not meet said requirements.

SETTING UP YOUR business on the locator

Products
HonorDiscount.com cannot and will not enforce how you as a business owner determine that a person is in fact active, reserve or otherwise eligible. We do however require that in order to be in the locator you must give the military personnel a discount. It is also completely up to you regarding the amount.

Content
As a member you will get receive space to display information about your business. AS PART OF THIS AGREEMENT YOU AGREE NOT TO DISPLAY (1) PORNOGRAPHIC AND OBJECTIONABLE (AS defined by www.honordiscount.com) WEB SITE ADVERTISEMENT (2) HATE OR ILLEGAL UNDERGROUND WEB SITES INCLUDING WAREZ WEB SITE ADVERTISEMENT (3) ANY OTHER ILLEGAL WEB SITES, (4) DISPLAY FORGED COPYRIGHTED OR TRADEMARKS.
YOUR CONTENT AND YOUR STORE NAME

HonorDiscount.com acknowledges that, as between you or your licensors and HonorDiscount.com, you or your licensors own Your Content and Your Business Name. Nevertheless, because you understand that HonorDiscount.com needs certain limited rights in such materials to make the Network available to the public, by uploading Your Content to the Locator using the Member area you grant HonorDiscount.com the worldwide, royalty-free, transferable, NONEXCLUSIVE right and license to use, reproduce, distribute, transmit, display, modify, prepare derivative works of, and display Your Content and Your Business Name for the purpose of operating the Locator.
and the Network as a whole. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR CONTENT (INCLUDING WITHOUT LIMITATION ANY REPRESENTATIONS, WARRANTIES, PRICES, CONTACT INFORMATION, OR OTHER INFORMATION THAT YOU UPLOAD TO THE LOCATOR) AND ALL CONSEQUENCES OF THE USE OF YOUR CONTENT.

ACKNOWLEDGMENTS
By agreeing to these terms and conditions, you represent that you are at least 18 years old and are authorized to enter into this Agreement, are entering into this Agreement on your own behalf, have independently evaluated the desirability of entering into this Agreement, and are not relying on any representation, guarantee, or statement other than as expressly set forth in this Agreement. You acknowledge that nothing in this Agreement should be construed as guaranteeing the purchase of any Product, or the generation of any referral fees from your operation of your business. You represent and warrant that the Locator will not be used in connection with any illegal purpose. At any time upon request by HonorDiscount.com, you agree to sign a non-electronic version of this Agreement.

TERMINATION
This Agreement shall be effective upon the date on which HonorDiscount.com provides to the public with access to your business information within the locator. This Agreement may be terminated as follows: (1) by you, at any time and for any reason, (2) by HonorDiscount.com, at any time and for any reason, by providing you with ten (10) days advance notice; or (3) by HonorDiscount.com immediately upon notice to you in the event of any breach by you of the terms of this Agreement. Upon any termination of this Agreement your placement on the locator will terminate, and Internet access to your information will be unavailable.

LIMITATION OF LIABILITY
 Neither We, nor any of Our affiliates, licensors, or business partners (nor any of Our, or their respective personnel) shall be liable for:
•    business interruption, loss or injury to revenue, profits, business opportunity, business performance
•     reputation or data or for any indirect, incidental, special, consequential, or punitive damages arising out of (or relating to) this Agreement
•     the Services, Your business, the HonorDiscount.com Network (including all communities and other sites, content, features, Merchandise and services We make available to You or Your Customers pursuant to this Agreement)
•     any access to or use of any of the foregoing, any failure of such access or use or any breach of this Agreement.
Without in any way limiting the foregoing:
•    neither We, nor any of Our affiliates, licensors, or business partners
•    nor  any of Our or their respective personnel shall in any event have, in the aggregate, any liability whatsoever in connection with this Agreement.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

GENERAL
This Agreement expresses the entire understanding and Agreement between the parties, and supersedes any and all prior or contemporaneous agreements, understandings, or contracts, written or oral, entered into between you and HonorDiscount.com. No waiver of any breach of this Agreement shall be effective unless made in writing and signed by an authorized representative of the waiving party. Neither your rights nor your obligations arising under this Agreement are assignable or otherwise transferable by you (whether voluntarily or by operation of law) without HonorDiscount.com’s written consent, and any such prohibited assignment or transfer shall be void and without effect. Provided that if HonorDiscount.com should so consent in writing, the assignee shall be bound by all of the terms and conditions of this Agreement. Notwithstanding the foregoing, HonorDiscount.com may assign and/or delegate any or all of its rights or obligations hereunder without your consent. You and HonorDiscount.com are independent contractors, and nothing in this Agreement shall create or be construed to create any partnership, joint venture, agency, franchise, or employment relationship between the parties. Except as otherwise provided in this Agreement, neither party shall have the right, power, or authority to act or to create any obligation, express or implied, on behalf of the other.
